Sales conditions and warranty
applied by General Fittings S.p.A. to products
in the Varmo catalogue
1. DEFINITIONS
Seller” means GENERAL FITTINGS S.p.A., C.F.
01613110178, P.I. 03448140172, with registered office
in Gussago (BS), 25064, via Golgi n. 73/75; “Purchaser”
shall mean the person, company or corporation to
whom the Seller’s Offer, Order Con
firmation and invoice
are addressed.
2. SCOPE OF APPLICATION AND ADDITIONAL
CLAUSES
These general conditions apply to each individual
Order or Contract for the supply of goods and services
rendered by the Seller in relation to products in
the VARMO catalogue and prevail over any general
conditions of the Buyer. Only these general terms and
conditions of sale shall apply to the VARMO catalogue.
Any contractual provisions additional to or deviating
from the provisions of these general terms and
conditions shall be valid only if agreed in writing.
3. CATALOGUES, PRICE LISTS AND TECHNICAL
DOCUMENTATION
The articles, measurements, characteristics and prices
of the products indicated in the Seller’s catalogues and
price lists are purely indicative.
They may be changed without notice.
They shall be binding only after the conclusion of
the Contract when stated in the Order Confirmation.
Technical documents (e.g. drawings, descriptions,
illustrations, indications of properties)
are for information purposes only and are not binding.
GENERAL FITTINSG reserves the right to make
modifications if it considers it appropriate
according to technical progress.
All technical documentation is the intellectual property
of GENERAL FITTINGS and may be used only for the
purposes agreed with GENERAL FITTINGS or expressly
permitted by it.
4. OFFERS AND CONCLUSION OF CONTRACT
Offers and Proposals of the Seller are not binding; they
expire 30 days after the date of issue.
Following the Buyer’s Order, the Seller shall send the
Buyer an Order Con
firmation indicating the prices and
data of the supply.
The Contract shall be concluded with the Seller’s
receipt of acceptance of the Order Con
firmation signed
by the Buyer or with the lapse of two days from the
sending of the Order Con
firmation without the Buyer
having sent any communication to the Seller.
In the latter case, the Buyer’s behaviour shall be
equivalent to acceptance of the contractual proposal
contained in the Order Confirmation.
5. CERTIFICATIONS
Any product certi
fications and/or declarations of
conformity shall be requested by the Purchaser in the
Request for Quotation and, in any case, prior to the
conclusion of the Contract.
6. TERMS OF DELIVERY
The expected or agreed delivery terms are purely
indicative and are subject to change during the
preparation of the products. The Seller shall not be
liable for damages caused by delays in delivery. Mere
delay in delivery shall not constitute grounds for
termination of the contract.
The delivery period shall commence from the moment
after written confirmation of the final executive project
and the corresponding supply contract in which all
essential technical points are clari
fied.
It shall be deemed met if, irrespective of the agreed
means and conditions of transport, the goods are ready
for dispatch at the time of expiry. The delivery time
shall be deemed to have been extended appropriately:
- if the information necessary for the execution of the
order is not received by GENERAL FITTINGS within the
time required or if it is subsequently changed by the
purchaser causing a delay in delivery;
- if GENERAL FITTINGS’ performance is hindered or
rendered impossible by any cause not imputable to
it such as unforeseeable events beyond GENERAL
FITTINGS’ control which make the supply dif
ficult or
impossible (such as delays or defective deliveries by
the selected sub-suppliers, labour conflicts, measures
taken by the authorities, shortages of raw materials
or energy, essential faults in the plant caused by the
destruction of the plant or important departments
thereof or breakdowns of indispensable installations,
serious impediments in transport such as strikes, road
