14. INVOICES AND RETENTION OF TITLE

Invoices of the Seller may only be contested in writing

within 30 days of receipt thereof. Failing this, they shall

be deemed to be accepted in full. The goods remain

the property of GENERAL FITTINGS until receipt of

payment of all the invoices relating to the supply

contract. In case of behaviour not in accordance with

the contractual agreements by the Buyer, in particular

in case of non-compliance with the payment terms,

GENERAL FITTINGS is entitled to request the return of

the goods by the Buyer who is obliged to comply with

the request immediately.

15. PAYMENTS, RIGHT TO SUSPEND SUPPLIES,

FORFEITURE OF THE BENEFIT OF THE TERM,

PAYMENT GUARANTEES

Payments shall be made at the Seller’s place of

business in accordance with the terms and conditions

specified in the Order Con

firmation.

The agreed methods of payment do not imply any

change to the place of payment.

Should the Buyer fail to make payments within the

agreed terms, the Seller shall have the right to charge

commercial interest on arrears (Legislative Decree no.

231/2002) and to obtain compensation for damages,

reimbursement of expenses incurred for outstanding

bills and remittances as well as legal recovery

expenses, without the need for a default notice.

Any delay or irregularity in payments shall entitle the

Seller to discontinue supplies, even if not directly

related to the payments affected by delay. If payment

in instalments is envisaged, any delay or irregularity in

payment shall result in the Buyer’s automatic forfeiture

of the benefit of the term, with immediate forfeiture of

the entire amount owed by the Buyer even in relation

to supplies not directly connected with the payments

affected by delay or irregularity.

The Seller shall have the right to change the terms

of payment for future deliveries and request advance

payments.The Seller shall have the right to change

execution of the Contract, may request appropriate

payment guarantees.If the requested guarantees are

not granted, the Seller may suspend the execution of

the Contract.The Buyer shall not be entitled to set off

sums against any payment unless the collectability

of any claim has been acknowledged in writing by the

Seller.

16. APPLICABLE LAW, JURISDICTION AND

COMPETENT COURT

The relationship between the Seller and the Purchaser

shall be governed by Italian law and jurisdiction; for

any dispute the Court of Brescia shall have exclusive

jurisdiction.
