CONDIZIONI COMMERCIALI
1. AMBITO DI APPLICAZIONE
Le presenti condizioni commerciali costituiscono l’unica fonte regolatrice del contratto di compravendita, che il cliente accetta incondizionatamente. Qualsiasi
aggiunta o modifica alle presenti condizioni non avrà alcuna efficacia nei confronti di Valbia S.r.l. se non approvata da quest’ultima espressamente per iscritto.
2. ORDINE E ACCETTAZIONE
Tutti gli ordini devono essere formulati per iscritto ed accettati Valbia S.r.l., per iscritto, mediante conferma d’ordine.
Tutti gli ordini con importo inferiore a 259 € verranno spediti in porto franco con un addebito fisso di € 21, se al trasporto provvede Valbia S.r.l. Tale addebito è
comprensivo di trasporto, spese per emissione Ri-Ba e tutte le altre spese accessorie.
4. TERMINI DI CONSEGNA
Si considera come data di consegna il giorno in cui la merce viene consegnata al corriere o messa a disposizione del cliente per il ritiro. Il ritardo nella consegna dei
prodotti non può mai considerarsi fonte di risarcimento del danno, né di risoluzione del contratto.
I prezzi dei prodotti e le modalità di pagamento saranno quelli indicati nel documento di conferma d’ordine. In caso di ritardo nei pagamenti, decorrano a carico
dell’acquirente gli interessi di mora come previsti per legge.
6. SPEDIZIONI
Le merci viaggiano a rischio e pericolo del destinatario, in quanto vendute “franco nostro stabilimento”, salva diversa indicazione scritta. Pertanto esse non sono mai
assicurate da noi per il trasporto, salvo dietro espressa richiesta del cliente, che se ne addossa il relativo onere.
7. RECLAMI
7.1 L’acquirente è tenuto ad esaminare e verificare con cura i prodotti all’atto del ricevimento degli stessi, esprimendo riserva, ove ritenesse, sulla bolla di consegna:
sarà preclusa all’acquirente ogni contestazione in merito alla qualità dei prodotti ricevuta e ai vizi riconoscibili ed apparenti degli stessi senza idonea contestazione.
7.2 Reclami riguardanti la qualità e la quantità della merce dovranno essere fatti per iscritto entro otto giorni. I reclami motivati porteranno Valbia S.r.l. alla sostituzione
od integrazione pura e semplice dell’articolo difettoso o mancante, senza diritto di rifusione di danni di qualsiasi specie.
8. RESI
8.1 Tutti i possibili resi devono essere preventivamente concordati. La richiesta di resi deve avvenire tramite l’apposito modulo “autorizzazione al reso” (che si trova
sul sito internet www.valbia.it) che, debitamente compilato dovrà essere inviato a Valbia S.r.l.
Lo stesso sarà eventualmente autorizzato, per iscritto. Non verranno accettati resi non preventivamente concordati.
8.2 I resi per errata ordinazione (escludendo le produzioni speciali) verranno accettati di ritorno con un addebito del 30% sul prezzo d’acquisto. Resta inteso che il
materiale deve essere integro in ogni sua componente.
9. RISERVA DI PROPRIETÀ
La vendita dei prodotti Valbia viene effettuata con patto di riservato dominio. Pertanto i prodotti rimarranno di proprietà di Valbia S.r.l. fino al totale pagamento del
prezzo da parte dell’acquirente.
10. RISERVATEZZA
L’acquirente si impegna a non divulgare a terzi nessuna informazione di natura commerciale, tecnica o concernente i diritti di proprietà industriale (in via esemplificativa
e non esaustiva, disegni, modelli, schede tecniche, progetti) di cui sia venuto a conoscenza nel corso de proprio rapporto commerciale con Valbia S.r.l.
Il contratto sarà regolato dalla legge italiana. Per qualsiasi controversia derivante dall’esecuzione o dall’interpretazione del contratto sar

SALES CONDITIONS
1. SCOPE OF APPLICATION
These terms and conditions are the only source of the purchase contract, that the customer unconditionally accepts. Any addition or modification on these conditions
will have no effect on Valbia S.r.l., if not expressly approved in writing.
2. ORDER AND ACCEPTANCE
All orders must be put into writing and accepted in writing by Valbia S.r.l. by order confirmation.
3. DELIVERY TERMS
As “delivery date” we consider the day on which goods are delivered to the courier or made available to the customer for collection. The delay in the delivery of
products can never be considered a source of compensation for damages, nor for the dissolution of the contract.
4. PRICES AND PAYMENT TERMS
The prices of the products and the payment terms applied, will be those indicated in our order confirmation. In case of overdue payments, the buyer will have to pay
default interests as provided by law.

Goods are sold “ex-factory” and they travel at the own risk of the customer, unless otherwise indicated in writing. Therefore, the transport is never insured, if not
expressly required by the customer and the relative burden is at the customer’s expense.
6. COMPLAINTS
6.1 The purchaser is obliged to carefully examine and check the products upon receipt of the same, expressing reserve on the delivery note if needed: any complaint
regarding the quality and any possible defect of the products received will be precluded to the purchaser without proper notification.
6.2 Complaints concerning the quality and the quantity of the goods must be made in writing within eight days. In case of con
firmed complaints Valbia S.r.l. will
proceed with the replacement or with the integration of the defective or missing item, without the right to recast damages of any kind.
7. RETURNS
7.1 All possible returns must be agreed in advance. The return request must be made through the appropriate form “return authorization” (available on the website
www.valbia.it) which must be duly filled-out and sent to Valbia S.r.l. The acceptance will eventually be authorized in writing. Returns not agreed in advance will not
be accepted.
7.2 Returns for wrong ordering (excluding special productions) will be accepted as return, applying a 30% charge on the invoice amount. It is understood that the
material must be intact in all its components.
7.3 The obsolete material of Valbia S.r.l. can be collected by crediting the pure cost of the raw material.
8. RETENTION OF TITLE
Sales of Valbia S.r.l. products are submitted to the agreement of retention of title. Therefore, the products will belong to Valbia S.r.l. until the buyer’s total payment
of the price.
9. CONFIDENTIALITY
The purchaser commits not to divulge to third parties any information of a commercial or technical nature or concerning industrial property rights (including but not
limited to drawings, models, technical data sheets, projects) of which the purchaser learnt about during the business relationship with Valbia S.r.l.
10. REGULATORY LAW AND COMPETENT COURT
The contract will be governed by the Italian law. For any controversy deriving from the execution or interpretation of the contract the Court of Brescia, Italy, will have
exclusive jurisdiction.
